FREEMIUM (TRIAL) TERMS AND CONDITIONS

For the avoidance of doubt, all capitalized terms will have the same meaning as in the Definitions of the Software as a Service Agreement, available at: https://www.pryon.com/ptsa202308. Pryon reserves the right to change any of the following terms and conditions at any time with no prior notice.

If Customer or a user registers on Pryon’s website for a free trial (or the “Freemium ETL SDK and/or Freemium ETL Service” offering), Pryon will make the applicable Service(s) available to Customer or user on a trial basis free of charge until the earlier of (a) the end of the free trial period for which Customer registered to use the applicable Service(s), or (b) the start date of any Order for such Services; or (c) termination by Pryon in its sole discretion.

By proceeding with registration, Customer and/or user acknowledges the following notices about the Freemium SDK and ETL Service; accepts the limitations and restrictions of the Freemium SDK and ETL Service utilizes a technical design with off-platform” cloud services; and assumes all risk associated with the Freemium SDK and ETL Service:

1. Freemium ETL Service uses a quota with data limits for ingestion.

2. None of Pryon’s service level agreements (“SLAs”) are applicable to the Freemium ETL
SDK and Service.

3. Freemium ETL service utilizes AWS S3 as a document store.

4. Freemium ETL service utilizes AWS S3 outside of the Pryon core platform; any and all
information or documents uploaded by Customers or users is within the Customer’s or
user’s sole discretion. Customer and/or user is strictly prohibited from uploading
documents or information with sensitive, confidential, or personally identifiable
information (“PII”).

5. Freemium ETL SDK is made available subject to reasonable usage limits and quotas
designed to prevent abuse, misuse, and unauthorized access, thereby ensuring the
availability and security of the service for all users.

6. Customer and/or user shall not copy, alter, sell, or distribute the Freemium SDK and ETL
Service.

7. ETL Freemium users will be limited to only specific API calls to the following URIs:

a. ETL URIs

i. /api/etl/v1alpha1/collections

b. Retrieval URIs

i. /api/knowledge/v1/content
ii. /api/conversation/v1/exchange
iii. /api/conversation/v1/ratings

c. Generative URIs

i. /api/conversation/v1/exchange-events/sse
ii. /api/conversation/v1/generative-ratings

8. Pryon has the right to delete any Freemium account for any reason at any time, with no
prior notice to Customer or user.

9. Pryon will not retain original Customer or user documents or information. Pryon will not
return or destroy any Customer or user documents or information either on request or
upon termination of the Service.

10. THE FREEMIUM SERVICES ARE PROVIDED “AS-IS” WITHOUT ANY WARRANTY AND
PRYON SHALL HAVE NO INDEMNIFICATION OBLIGATIONS NOR LIABILITY OF ANY TYPE
WITH RESPECT TO THE SERVICES DURING THE FREE TRIAL PERIOD UNLESS SUCH
EXCLUSION OF LIABILITY IS NOT ENFORCEABLE UNDER APPLICABLE LAW IN WHICH CASE
PRYON’S LIABILITY WITH RESPECT TO THE SERVICES PROVIDED DURING THE FREE TRIAL
SHALL NOT EXCEED $1,000.00. WITHOUT LIMITING THE FOREGOING, PRYON DOES NOT
REPRESENT OR WARRANT TO CUSTOMER AND/OR USER THAT: (A) CUSTOMER’S
AND/OR USER’S USE OF THE SERVICES DURING THE FREE TRIAL PERIOD WILL MEET
CUSTOMER’S REQUIREMENTS, (B) CUSTOMER’S AND/OR USER USE OF THE SERVICES
DURING THE FREE TRIAL PERIOD WILL BE UNINTERRUPTED, TIMELY, SECURE OR FREE
FROM ERROR. NOTWITHSTANDING ANYTHING TO THE CONTRARY IN THE “LIMITATION
OF LIABILITY” SECTION ABOVE, CUSTOMER AND/OR USER SHALL BE FULLY LIABLE
UNDER THIS AGREEMENT TO PRYON AND ITS AFFILIATES FOR ANY DAMAGES ARISING
OUT OF CUSTOMER’S AND/OR USER’S USE OF THE SERVICES DURING THE FREE TRIAL
PERIOD, ANY BREACH BY CUSTOMER AND/OR USER OF THIS AGREEMENT AND ANY OF
CUSTOMER’S AND OR USER’S INDEMNIFICATION OBLIGATIONS HEREUNDER
